1. Agreement to Terms

By accessing or using any website operated by Attevon LLC ("Attevon," "we," "us," or "our"), including attevon.com, attevon.org, attevon.store, attevon.io, and attevon.app (collectively, the "Websites"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Websites or services.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing our Websites on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Attevon LLC is a veteran-owned artificial intelligence software company that provides:

  • Open source software — Including Open Transcribe, a transcription SaaS platform freely available under open source licenses.
  • Commercial software — Including computer vision image sorting software and other proprietary tools.
  • Data science consulting — Professional services including data analysis, machine learning model development, and AI strategy consulting.
  • Informational content — Our Websites provide information about our company, products, and services for general informational purposes.

Information provided on our Websites is for general informational purposes only and does not constitute a binding offer or contract for services. The specific scope, deliverables, pricing, and terms of any consulting engagement or commercial software license will be defined in a separate written agreement between Attevon LLC and the client.

3. Open Source Software

Certain software products developed by Attevon LLC, including Open Transcribe, are released under open source licenses. The use, modification, and distribution of these open source products are governed by their respective license agreements (such as the MIT License or Apache License 2.0), not by these Terms.

These Terms govern your use of our Websites and any commercial services or proprietary software offered by Attevon LLC. In the event of a conflict between these Terms and an applicable open source license, the open source license shall prevail with respect to the open source software in question.

Open source software is provided "as is" without warranty. Please refer to the specific license included with each project for full terms and conditions.

4. User Conduct

You agree to use our Websites and services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our Websites in any way that violates any applicable federal, state, local, or international law or regulation.
  • Attempt to gain unauthorized access to any part of our Websites, servers, systems, or networks connected to our Websites.
  • Use automated tools, bots, scrapers, or crawlers to access, scrape, or index our Websites or their content without our prior written consent, except for standard search engine indexing.

5. Intellectual Property

All content on our Websites, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Attevon LLC or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Attevon name, logo, and all related product and service names, designs, and slogans are trademarks of Attevon LLC. You may not use these marks without our prior written permission.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our Websites without our prior written consent, except for temporary caching or as permitted by applicable law.

Open source software components are excluded from this restriction and are governed by their respective open source licenses as described in Section 3.

6. Contact Form Submissions

When you submit information through our contact form or communicate with us via email, you acknowledge the following:

  • Any information you provide through our contact form or email is not guaranteed to be treated as confidential unless a separate written non-disclosure agreement has been executed between you and Attevon LLC.
  • We may use any feedback, suggestions, ideas, or other information you provide to us without any obligation to compensate you or keep such information confidential.
  • You are responsible for ensuring that any information you submit does not violate the rights of any third party, including intellectual property, privacy, or confidentiality rights.

We process contact form data in accordance with our Privacy Policy.

7. Disclaimer of Warranties

OUR WEBSITES AND ALL CONTENT, INFORMATION, PRODUCTS, AND SERVICES PROVIDED THROUGH THEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ATTEVON LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Attevon LLC does not warrant that:

  • Our Websites will be available at all times, uninterrupted, secure, or error-free.
  • The information, content, or materials on our Websites are accurate, complete, reliable, current, or free of errors.
  • Any defects or errors in our Websites will be corrected.
  • Our Websites or the servers that make them available are free of viruses or other harmful components.
  • The results obtained from using our Websites or services will meet your requirements or expectations.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATTEVON LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use our Websites or services.
  • Any content, information, or materials obtained from our Websites.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any third-party conduct or content on or through our Websites.

IN NO EVENT SHALL ATTEVON LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR WEBSITES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ATTEVON LLC, IF ANY, FOR ACCESSING OR USING OUR WEBSITES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Attevon LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to our Websites or services.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any content or information you submit through our Websites.

10. Third-Party Links

Our Websites may contain links to third-party websites, services, or resources, including but not limited to GitHub repositories, social media profiles, and partner websites. These links are provided for your convenience and informational purposes only.

Attevon LLC does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. You access third-party websites at your own risk, and we encourage you to review the terms and privacy policies of any third-party website you visit.

11. Modifications to Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we may also post a prominent notice on our Websites.

Your continued use of our Websites after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using our Websites.

12. Termination

We reserve the right to suspend or terminate your access to our Websites at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if such action is necessary to protect our Websites, our users, or our business interests.

Upon termination, all provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 5 (Intellectual Property), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution).

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Websites ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting us at info@attevon.com. We will attempt to resolve the Dispute through good-faith negotiation for a period of at least thirty (30) days.

If the Dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts specified in Section 13, at the election of the party initiating the claim. Any arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) and shall take place in the Commonwealth of Virginia, United States.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements executed between you and Attevon LLC, constitute the entire agreement between you and Attevon LLC regarding your use of our Websites. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter herein.

No waiver of any provision of these Terms by Attevon LLC shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
